Chúng ta sẽ khám phá một chủ đề đang làm nóng cộng đồng Fintech Việt Nam những ngày gần đây, đó là Nghị định số 94/2025/NĐ-CP (“Nghị Định 94”) quy định về Cơ chế thử nghiệm có kiểm soát trong lĩnh vực ngân hàng (“Cơ Chế Thử Nghiệm”). Đây là bước đi đầu tiên của Chính phủ Việt Nam nhằm hợp thức hóa hoạt động thử nghiệm các mô hình tài chính công nghệ – Fintech, đặc biệt là giải pháp cho vay ngang hàng (tôi sẽ nói ngắn gọn là “P2P Lending”).
1. Phần 1: P2P Lending là gì và vì sao hot?
P2P Lending kết nối người cho vay và người đi vay qua nền tảng số, không cần ngân hàng làm trung gian.
Ví dụ: Bạn có 50 triệu VNĐ (gần 2.000 USD), thay vì gửi ngân hàng với lãi suất 4-5%/năm, bạn có thể cho vay qua nền tảng P2P với lãi suất 10-12%. Nghe hấp dẫn đúng không?
Nhưng câu hỏi mở mà BLawyers Vietnam đặt ra cho bạn là: Ai đảm bảo an toàn cho bạn?
2. Phần 2: Tại sao Nghị Định 94 là bước ngoặt cho Fintech Việt Nam?
Nghị Định 94 điều chỉnh cơ chế thử nghiệm có kiểm soát trong lĩnh vực ngân hàng.
Nói cách khác, đây là khuôn khổ pháp lý cho phép các tổ chức được thử nghiệm sản phẩm, dịch vụ, mô hình kinh doanh mới ứng dụng công nghệ tài chính nhưng phải nằm trong phạm vi giám sát chặt chẽ của Ngân hàng Nhà nước Việt Nam (NHNN).
Có ba loại giải pháp Fintech được phép tham gia Cơ Chế Thử Nghiệm này:
(i) Chấm điểm tín dụng;
(ii) Chia sẻ dữ liệu qua giao diện lập trình ứng dụng mở – Open API; và
(iii) Cho vay ngang hàng (P2P Lending).
Thời gian thử nghiệm tối đa là 02 năm; và có thể gia hạn 02 lần, mỗi lần 01 năm.
Toàn bộ hoạt động thử nghiệm phải diễn ra trong lãnh thổ Việt Nam – không được thử nghiệm xuyên biên giới.

Have you ever thought that with just a few dozen million VND of idle money, you could become a kind of ‘mini bank’ – lending it to others and earning a much higher return than a normal savings account? That’s the idea behind Peer-to-Peer lending (or P2P lending). But is Vietnam ready for this game, and how does Vietnamese law regulate it?
Hello everyone, and welcome back to The Lawyers Talk, the podcast channel of BLawyers Vietnam. I’m Dang Thi Kim Chau, and I’m very happy to see you again in today episode.
Today, we’ll explore a topic that’s been making waves in Vietnam’s fintech community lately – Decree No. 94/2025/ND-CP (“Decree 94”), which sets out the regulatory sandbox mechanism in the banking sector (“Sandbox Mechanism”). This is Vietnam’s very first step toward legalizing the testing of innovative financial technology models, especially P2P lending.
1. Part 1: What is P2P Lending and why is it hot?
P2P lending connects lenders and borrowers through a digital platform – no bank in the middle.
For example: You have VND 50 million (nearly USD2,000). Instead of depositing it in a bank with an annual interest rate of 4–5%, you can lend it through a P2P platform and earn 10–12% instead. Sounds appealing, right?
But BLawyers Vietnam wants to ask you this question: Who will guarantee that your money is safe?
2. Part 2: Why is Decree 94 a turning point for Vietnam’s Fintech sector?
Decree 94 sets out the framework for a controlled testing mechanism in the banking sector. In other words, it allows organizations to test new fintech-based products, services, or business models that use technology but only under the close supervision of the State Bank of Vietnam (SBV).
There are three categories of Fintech solutions permitted to join the sandbox:
(i) Credit scoring;
(ii)Data sharing through open APIs; and
(iii) Peer-to-Peer (P2P) lending.
Each sandbox test can last up to two years, and can be extended twice, one year each time. All testing activities must take place within Vietnam – no cross-border trials are allowed.

I’m Huynh Kim Thanh, and I’m delighted to be with you again for today’s episode. The topic today is a matter that has been receiving a great deal of attention: anti-money laundering and the key points that foreign investors should pay attention to when investing in Vietnam, as well as the connection to the Resolution No. 05/2025/NQ-CP, under which Vietnam is taking a major step into the era of digital currencies and cryptocurrencies.
Dear foreign investors and our valued listeners, money laundering has become a global issue that negatively impacts every aspect of a nation — from its economy and society to its security.
In Vietnam, the Law on Anti-Money Laundering 2012 was first promulgated on 18 June 2012 and took effect on 01 January 2013.
Later, on 15 November 2022, Vietnam enacted the Law on Anti-Money Laundering 2022 to make the rules clearer and more effective than the 2012 law, and this new law has been in effect since 01 March 2023.
Most recently, on 9 September 2025, the Vietnamese Government issued Resolution No. 05/2025/NQ-CP (“Resolution 05”), which provides for the pilot implementation of the digital asset market in Vietnam. Through this, Resolution 05 not only opens up opportunities for digital financial innovation but also sets out requirements closely linked to anti-money laundering efforts that foreign investors should pay particular attention to.
1. What is money laundering?
Money laundering is the act of converting or conducting transactions with criminal proceeds to turn illegal money or assets into “clean” or legal ones. It is an act in which individuals or organizations attempt to make money or assets obtained from criminal activities appear legitimate.
Money laundering not only conceals the illegal origin of these funds but also creates a basis for criminals to continue using the laundered money to engage in other unlawful activities.

Tại Việt Nam, vào ngày 18/6/2012, Luật phòng, chống rửa tiền lần đầu được ban hành và có hiệu lực từ ngày 01/01/2013.
Sau đó, đến ngày 15/11/2022, Việt Nam đã ban hành Luật phòng, chống rửa tiền 2022 (“LPCRT 2022”) để nhằm khắc phục những hạn chế của luật ban hành năm 2012. LPCRT 2022 đã có hiệu lực vào ngày 01/3/2023.
Gần đây nhất, vào ngày 09/9/2025, Chính phủ Việt Nam đã ban hành Nghị quyết số 05/2025/NQ-CP (“Nghị Quyết 05”) quy định việc triển khai thí điểm thị trường tài sản mã hóa tại Việt Nam. Qua đó, Nghị Quyết 05 không chỉ mở ra cơ hội cho đổi mới tài chính số mà còn đặt ra những yêu cầu gắn liền với công tác phòng, chống rửa tiền mà các nhà đầu tư nước ngoài cần đặc biệt lưu ý.

Hello Mr. Thai and listeners, I am Anh Thu, very pleased to join you in today’s podcast. I hope that today’s topic will help our dear listeners identify special cases, thereby allowing you to grasp the issues when implementing due diligence of intellectual property in technology companies.
The first special case is one that Mr. Thai mentioned in the previous podcast episode. Specifically, when conducting due diligence of intellectual property in a technology company, the enterprises and investors should review the status and the mortgage/ encumbrance history of such intellectual property.
So, how does a particular intellectual property become a collateral? Mr. Thai, please answer this question.

First of all, I confirm that an intellectual property cannot become collateral under Vietnamese law. Specifically, Article 105 of the Civil Code 2015 stipulates that property includes objects, money, valuable papers, and property rights. Among these, property rights are rights which are able to be valued in money, including property rights to subjects of intellectual property rights, and right to use land and other property rights. Based on this, intellectual property itself cannot be considered collateral; only the property rights to subjects of intellectual property rights can be identified as property, and thus may become collateral.
For example, the right to use or to allow others to use a trademark is a property right, which can be used as collateral to perform obligations.

Trước hết, tôi xác nhận rằng một tài sản trí tuệ không thể trở thành tài sản bảo đảm theo quy định của pháp luật Việt Nam. Cụ thể, Điều 105 của Bộ luật dân sự 2015 quy định rằng, tài sản là vật, tiền, giấy tờ có giá và quyền tài sản. Trong đó, quyền tài sản là quyền trị giá được bằng tiền, bao gồm quyền tài sản đối với đối tượng quyền sở hữu trí tuệ, quyền sử dụng đất và các quyền tài sản khác. Trên cơ sở đó, tài sản trí tuệ không thể trở thành tài sản bảo đảm, mà chỉ có quyền tài sản đối với đối tượng quyền sở hữu trí tuệ mới được là xác định tài sản, theo đó trở thành tài sản bảo đảm.
Ví dụ, quyền sử dụng, cho phép người khác sử dụng nhãn hiệu là quyền tài sản, có thể được sử dụng là tài sản bảo đảm thực hiện nghĩa vụ.

Trước khi chia sẻ cụ thể các lưu ý khi thực hiện thẩm định tài sản trí tuệ, tôi nghĩ cần phải làm rõ rằng, việc thẩm định tài sản trí tuệ khi trong các thương vụ mua bán – sáp nhập có thể được thực hiện trên bất kỳ doanh nghiệp nào có tài sản trí tuệ.
Nhưng như Thư đã nêu, các công ty công nghệ thường là các doanh nghiệp có tài sản trí tuệ chiếm phần lới giá trị của doanh nghiệp. Vì vậy, trong bối cảnh của buổi Podcast này, chúng tôi xin chia sẻ các lưu ý này khi tiến hành các thương vụ mua bán – sáp nhập trong Công ty công nghệ.

In our experience, many businesses start with a strong sense of optimism and mutual trust. But over time, especially as the business grows, conflicts tend to arise, often due to the lack of a clear agreement between the founders.

Một thực tế mà chúng tôi thường gặp là nhiều doanh nghiệp được thành lập trong không khí rất lạc quan, tin tưởng lẫn nhau. Nhưng sau một thời gian, đặc biệt khi công ty có sự phát triển, thì các mâu thuẫn bắt đầu nảy sinh, và nguyên nhân thường đến từ việc thiếu một thỏa thuận rõ ràng giữa các thành viên sáng lập.

Đầu tiên, cần hiểu rằng thỏa thuận giữa các thành viên sáng lập là một hợp đồng dân sự. Vì vậy, để được pháp luật công nhận và có thể sử dụng làm căn cứ giải quyết tranh chấp sau này, thỏa thuận này cần đảm bảo tuân thủ các quy định của Bộ luật Dân sự của Việt Nam.

Thị trường các-bon là nơi diễn ra các giao dịch mua bán hạn ngạch phát thải khí nhà kính và tín chỉ các-bon. Cơ chế này cho phép doanh nghiệp đạt được mục tiêu giảm phát thải một cách linh hoạt, đồng thời thúc đẩy đổi mới công nghệ và đầu tư xanh.
Đối với Việt Nam, sự hình thành thị trường này còn xuất phát từ yêu cầu hội nhập quốc tế. Đặc biệt, việc Liên minh châu Âu triển khai Cơ chế điều chỉnh biên giới các-bon (CBAM) từ năm 2026 đã khiến nhiều ngành xuất khẩu chủ lực như thép, xi măng, nhôm buộc phải kiểm kê phát thải và tham gia vào hệ thống định giá các-bon. Điều này trở thành áp lực áp lực cho các doanh nghiệp xuất khẩu tại Việt Nam, nhưng cũng trở thành động lực để Việt Nam triển khai sớm thị trường các-bon trong nước.

I hope today’s topic can help listeners have a more detailed and systematic perspective on the legal framework related to the carbon market in Vietnam, especially the regulations on carbon credit market, which have recently drawn a great deal of attention from the business community.

Currently, the carbon credit market is no longer just a theoretical concept. Vietnam is gradually building the legal framework and technical infrastructure to officially launch this market. However, many businesses are still unsure about how the market operates. So Thao, could you explain why it is necessary for Vietnam to develop its own carbon market?

Of course, Tuyen. The carbon market is where transactions involving greenhouse gas emission allowances and carbon credits take place. This mechanism allows businesses to achieve emission reduction targets in a more flexible, while also encouraging technological innovation and green investment.
For Vietnam, the development of this market also stems from the country’s need to align with international commitments. Specifically, the European Union’s Carbon Border Adjustment Mechanism (CBAM), which will come into effect in 2026, has forced many key export industries such as steel, cement, and aluminum to track their emissions and be part of the carbon pricing system. This creates pressure for Vietnamese exporters, but at the same time, it serves as a strong incentive for the country to fast-track its domestic carbon market.

Hôm nay, chúng ta sẽ cùng nhau tìm hiểu sâu hơn một chút về Nghị định 168/2024/NĐ-CP, có hiệu lực từ ngày 01/01/2025, quy định về xử phạt vi phạm hành chính về trật tự, an toàn giao thông trong lĩnh vực giao thông đường bộ; trừ điểm, phục hồi điểm giấy phép lái xe.
Vì trên mạng đã có nhiều bài tuyên truyền và phân tích về Nghị định 168/2024/NĐ-CP, tôi không có tham vọng nêu quá chi tiết về nghị định này. Thay vào đó, tôi sẽ giới hạn phần trình bày của mình bằng việc tìm hiểu về 03 hành vi vi phạm hành chính do người điều khiển xe gắn máy thực hiện (có thể nói là hàng ngày), cũng như các mức phạt mới dành cho các hành vi vi phạm đó theo Nghị định 168/2024/NĐ-CP. Mục tiêu của tôi là để giúp các quý thính giả, những người tham gia giao thông hàng ngày, nắm rõ hơn các quy định của nghị định để tuân thủ đúng, nhằm đảm bảo sự an toàn cho chính mình và mọi người xung quanh khi tham gia giao thông.

Today, we will learn deeper about Decree No. 168/2024/ND-CP, effective from 01 January 2025, regarding regulations on administrative sanctioning for violations of traffic order and safety in the field of road traffic, and point deduction and restoration of rider’s license points.
Since there have already been many online articles and analyses about Decree 168/2024/ND-CP, I do not aim to go into too much detail about this decree. Hello dear listeners, welcome back to The Lawyers Talk channel of BLawyers Vietnam. My name is Huynh Ngoc Uyen Chi, and nice to see everyone on today's Podcast. Today, I will join our esteemed listeners in exploring the process of applying for a Certificate of Free Sale for type B medical devices.
Firstly, I will provide some general information about this type of Certificate before speaking about the main content of today’s topic. A Certificate of Free Sale, commonly abbreviated as CFS, is a certificate issued by a competent state authority of an exporting country to an exporter to certify that goods are allowed to circulate freely in the exporting country. The Government regulates the List of goods and CFS management authority in Appendix V of Decree No. 69/2018/ND-CP, amended by Decree No. 96/2023/ND-CP. Accordingly, medical devices are goods under the CFS-issuing authority of the Ministry of Health. Medical devices are specifically classified by enterprises into types A, B, C or D depending on the level of risk according to the classification rules specified in Appendix I of Circular No. 05/2022/TT-BYT and implementation of the Notification procedures of the Department of Health where the manufacturing facility is headquartered.
The process of applying for a CFS is strictly and complexly regulated by various legal documents, which can easily cause enterprises to miss certain aspects of the process and face difficulties in the actual implementation process. Thus, I will provide a brief and easy-to-understand system of the implementation process, application components, fees and related notes to help enterprises apply for CFS more easily. Please note that, within the scope of today's Podcast episode, we will focus on the procedure for obtaining CFS for type B medical devices with low medium risk level – as the most common type of medical device nowadays. For medical devices classified as type A, C, or D, enterprises should review and note the different regulations and implement procedures in accordance with legal requirements.

Hôm nay, tôi sẽ cùng quý khán thính giả tìm hiểu về quy trình xin cấp Giấy chứng nhận lưu hành tự do đối với thiết bị y tế loại B.
Đầu tiên, tôi sẽ cung cấp một số thông tin chung về loại Giấy chứng nhận này cho quý khán thính giả trước khi bước vào nội dung chính của chủ đề ngày hôm nay. Giấy chứng nhận lưu hành tự do, có tên tiếng Anh là Certificate of Free Sale hay thường được gọi tắt là CFS, là văn bản chứng nhận do cơ quan nhà nước có thẩm quyền của nước xuất khẩu cấp cho thương nhân xuất khẩu hàng hóa để chứng nhận rằng hàng hóa đó được phép lưu hành tự do tại nước xuất khẩu.
Chính phủ quy định Danh mục hàng hoá và thẩm quyền quản lý CFS tại Phụ lục V của Nghị định số 69/2018/NĐ-CP, được điều chỉnh bởi Nghị định số 96/2023/NĐ-CP. Theo đó, thiết bị y tế (“TBYT”) là loại hàng hoá thuộc thẩm quyền cấp CFS của Bộ Y Tế (“BYT”). TBYT sẽ được doanh nghiệp phân loại cụ thể thành các loại A, B, C, D phụ thuộc vào mức độ rủi ro theo quy tắc phân loại được quy định tại Phụ lục I của Thông tư số 05/2022/TT-BYT và thực hiện thủ tục Thông báo với Sở Y Tế (“SYT”) nơi cơ sở sản xuất đặt trụ sở chính.
Quy trình đề nghị cấp CFS được quy định nghiêm ngặt và phức tạp bởi nhiều văn bản quy phạm pháp luật khác nhau dễ khiến các doanh nghiệp bỏ sót và gặp khó khăn trong quá trình thực hiện trên thực tế. Do đó, tôi sẽ hệ thống sơ lược cách ngắn gọn và dễ hiểu quy trình thực hiện, thành phần hồ sơ, lệ phí và một vài lưu ý liên quan để giúp doanh nghiệp có thể xin cấp CFS cách dễ dàng hơn.
Lưu ý rằng, trong phạm vi của tập Podcast ngày hôm nay, tôi sẽ tập trung vào thủ tục xin cấp CFS đối với TBYT loại B có mức độ rủi ro trung bình thấp - là loại TBYT phổ biến nhất hiện nay. Đối với những TBYT thuộc loại A, C hoặc D, doanh nghiệp cần rà soát để ghi nhận những quy định khác biệt và thực hiện thủ tục tương ứng với yêu cầu của pháp luật.

Today, we’ll discuss the regulations on renewing work permits and applying for temporary residence cards for foreign employees in Vietnam.
This episode covers an important topic for both employers and foreign employees in Vietnam. It is: “What to do when a work permit and a temporary residence card of a foreign employee are about to expire? And what practical notes should be considered?” In this podcast, I will guide you through the procedures and orders, and critical points to note when handling the renewal of work permits and applying for new temporary residence cards.
Let’s start with renewing a work permit for foreign employees. Under Decrees No. 152/2020/ND-CP and No. 70/2023/ND-CP, renewing a work permit begins with completing the procedure for obtaining approval for the demand to employ foreign employees. Here’s how it’s done:
First, the employers must first conduct a recruitment process for Vietnamese employees to work at the positions intended for foreign employees. This process must be carried out on the portals of the Department of Employment or Employment Service Centers established by the provincial People’s Committees for at least 15 days before submitting an explanation report to the Department of Labor, Invalids and Social Affairs (thereafter referred to as “DOLISA”).

Hôm nay, chúng ta sẽ cùng thảo luận về những quy định về vấn đề gia hạn giấy phép lao động (“GPLĐ”) và cấp thẻ tạm trú cho người lao động nước ngoài.
Hôm nay, chúng ta sẽ bàn về một chủ đề đáng chú ý dành cho người sử dụng lao động và người lao động nước ngoài tại Việt Nam đó là: “Cần làm gì khi giấy phép lao động và thẻ tạm trú của người lao động nước ngoài sắp hết hạn? và những điều cần lưu ý trong thực tiễn”. Trong tập podcast này, tôi sẽ cùng quý vị tìm hiểu về quy trình, thủ tục và những lưu ý quan trọng trong thực tế khi thực hiện các thủ tục gia hạn GPLĐ và cấp mới thẻ tạm trú.
Trước hết, chúng ta hãy bàn về việc gia hạn GPLĐ cho người lao động nước ngoài. Theo quy định tại Nghị định 152/2020/NĐ-CP và 70/2023/NĐ-CP, khi thực hiện việc gia hạn GPLĐ, trước tiên, doanh nghiệp cần phải hoàn tất thủ tục xin chấp thuận nhu cầu tuyển dụng người lao động nước ngoài. Theo đó, để thực hiện thủ tục này chúng ta cần thực hiện các bước sau:
Đầu tiên, người sử dụng lao động thực hiện thủ tục tuyển dụng người lao động Việt Nam vào các vị trí dự kiến tuyển dụng người lao động nước ngoài trên Cổng thông tin điện tử của Cục Việc làm hoặc Cổng thông tin điện tử của Trung tâm dịch vụ việc làm do Chủ tịch Ủy ban nhân dân tỉnh, thành phố trực thuộc trung ương quyết định thành lập trong thời gian ít nhất 15 ngày kể từ ngày dự kiến báo cáo giải trình với Sở Lao động - Thương binh và Xã hội nơi người lao động nước ngoài dự kiến làm việc.
