In our experience, many businesses start with a strong sense of optimism and mutual trust. But over time, especially as the business grows, conflicts tend to arise, often due to the lack of a clear agreement between the founders.

So the question here is: What are the key issues that founding members need to clarify from the beginning when establishing a company?

First, it's important to understand that a founders’ agreement is a civil contract. So, to be legally recognized and used as a basis for resolving future disputes, the agreement must comply with the Civil Code of Vietnam.

As Thanh just mentioned, the content of the agreement must not conflict with the Vietnamese law in general or Law on Enterprises in particular. If it does, then when a dispute arises, the agreement may have no legal value to protect the parties involved...
