[EP 147] How Business Systems Can Drive Scalability, Stability, and Saleability

Download AudioSubscribe on Apple PodcastsSubscribe on Google Podcasts

How can the integration of legal and organisational systems help in achieving business scalability and stability (and ultimately saleability)?
In this episode, we talk with David Jenyns, author of SYSTEMology and systems guru. Together Dave and host, Joanna Oakey, explore the powerful intersection between legal frameworks and business systems and how well-designed processes can set the foundation for a scalable business. They also dig into some of their top strategies for implementing systems and starting points for building a systems culture.
Here are 3 key takeaways:
The Importance of Systems Across Every Business Function: When one subsystem fails, it impacts the overall business health.
Effective Systemisation: It is critical to map out the journey of delivering systems without creating key person dependency. This not only improves efficiency but also sets the stage for scaling.
Tips for Creating a Systems Culture and Getting Started: Systems are not just about creation but adherence. Incorporating systems into your culture - from recruitment and onboarding onwards ensures that new team members align with this culture from day one.
Dave shared incredible real-life stories of businesses that transformed by adopting a systems-driven approach—and, as you’ll hear, the results were nothing short of phenomenal.
Tune in now!  Discover how systems can help you avoid legal landmines and create lasting business value as you grow (and when you eventually exit).
ABOUT OUR GUEST
David Jenyns is the author of SYSTEMology and the ultimate systems guru.
David’s entrepreneurial journey began in his early twenties when he sold Australia’s most beloved sporting venue, the Melbourne Cricket Ground. Since then, his business experience has spanned franchising retail clothing stores to founding one of Australia’s most trusted digital agencies, Melbourne SEO Services.
In 2016, he successfully systemised himself out of that business, hired a CEO, and stepped back from daily operations. Through this process, he became a systems devotee, founding SYSTEMology.
Today, his mission is to free all business owners worldwide from the daily operations of running their businesses.
Jenyns spends most of his time supporting the growing community of certified SYSTEMologists as they help business owners implement SYSTEMology across the globe. He also delivers workshops, and keynote addresses and hosts his own popular podcast – Business Processes Simplified.

[EP 131] Trap alert: Watch out for these mistakes in Terms Sheets and Heads of Agreement with Paula Tallon

Download AudioSubscribe on Apple PodcastsSubscribe on Google Podcasts

Today we are joined by Paula Tallon, Tax Director at Prosperity Advisors group. Together, Paula & Joanna run through traps in deal term sheets that are too detailed, and what to think about when you're preparing your Heads of Agreement or commercial term sheet documents. Even though in this episode we were talking specifically about term sheets used in business and share sale and acquisition transactions, the warnings are just as relevant for any MOU, LOI, heads of agreement or commercial terms type document. Ultimately you need to be clear on whether or not you want that document to be binding - and if it is binding, whether you intend for the whole or just part of it to be enforceable because ultimately your legal and tax position can ride on fine distinctions.

* Speak to a lawyer about an issue you are facing now
* Leave us a message with a legal issue that you want us to cover on the podcast

Episode Highlights:

* What is a heads of agreement & when do you need one?
* What makes this case study so fascinating?
* Risks areas to consider
* High level differences in a tax position between entering into a contract versus the business passing over
* Reasons why we end up with detailed term sheets
* Methods that you can use to trigger the tax point
* Considering options
* Final takeaways

Joanna:
Brilliant. Okay, wonderful. So we've talked about pricing, what I really like to talk about next is force majeure. Because I think this is a really misunderstood concept. And actually, I feel like many people in the industry and far outside of the industry, you know, perhaps don't even really understand what it means and how it's meant to apply. So can you talk about the force majeure clause and is the relevance of force majeure clauses within the building construction industry? And how do they usually appear in the contracts?
Jelena:
I mean, force majeure clauses were one of those things that were always in contracts, but no one really paid very much attention to them. Because, you know, they talked about things like wars and things like that, you know, as if that will have to happen, right? But then COVID-19 happened and suddenly everyone was scrambling through their contracts trying to see do we ha...
